    Terms and Conditions

These terms apply to every TWA Studio service. When you sign a proposal or service agreement with us, that document adds the specifics for your project and takes priority wherever the two differ.

    1. Who we are

TWA Studio is the operating name of Take Wing Artistry Inc., a British Columbia company at 3202 32 St, Vernon, BC V1T 5M6. These Terms and Conditions ("Terms") govern your use of twa.studio and every service we provide. By booking a consultation, signing a proposal or service agreement, or paying an invoice, you agree to these Terms.

    2. Our services

We provide search engine optimization, local SEO and AI search visibility, Google Business Profile management, website design, development and optimization, brand identity and graphic design, content and social media, email marketing, paid advertising management, and CRM automation delivered on our client platform. Every engagement is described in a written proposal or service agreement that sets out scope, deliverables, timeline and fees.

    3. Proposals and scope

Your proposal or service agreement defines what is included. Anything not listed there is outside scope. Extra pages, features, integrations, platforms, languages or deliverables are added only by written agreement (email is acceptable) and may change the fee or the timeline. Work outside scope is billed at our hourly rate of CAD $50, quoted before it starts wherever practical.

    4. Fees and payment

Payment is 100% up front. One-time projects, including website, brand and startup packages, are paid in full before any work begins, and monthly services are billed in full, in advance, on your billing date and continue month to month until cancelled under clause 7. We do not offer deposits, instalments or pay-on-completion unless a different payment schedule is written into your signed agreement, and no work is scheduled until payment has cleared. All prices, quotes and invoices are in Canadian dollars (CAD). Invoices are payable on receipt. If an invoice is more than 7 days overdue we may pause work and platform access until the account is current. Third-party costs such as domains, stock imagery, premium plugins and print are billed at cost or paid by you directly. Advertising spend on Google, Meta or any other platform is always billed directly by that platform to your own payment method; we never hold, invoice or mark up ad spend.

    5. How charges appear on your statement

Charges from us may appear on your card or bank statement as TWA STUDIO or NICEAPP.AI, the billing platform our services run on. If you do not recognize a charge, email support@twa.studio before disputing it with your bank and we will resolve it within two business days. Chargebacks filed without first contacting us may result in suspension of services and recovery of the disputed amount plus fees.

    6. Plan changes

You may upgrade, downgrade or change a monthly plan with 30 days' written notice. Changes take effect at the start of the next billing cycle. Invoices issued during a notice period are payable in full and are not prorated.

    7. Cancellation and termination

Either party may cancel a monthly service with 30 days' written notice; email is sufficient. You remain responsible for fees that fall due during the notice period. Engagements with a fixed initial term, for example a three-month management agreement, may be cancelled during that term with 30 days' notice, and you remain responsible for the fee for any month already in progress. After the initial term they continue month to month under the same terms. We may end an engagement immediately if an invoice remains unpaid after a written reminder, if the relationship becomes unworkable, or if you ask us to do something unlawful or against a platform's rules. On cancellation we will hand back access to accounts you own and provide reasonable transition help at our hourly rate.

    8. Refunds

All sales are final. Because every project is paid in full up front, the fee is non-refundable once paid: the work is scheduled and begins on receipt. Monthly fees billed in advance are non-refundable, including for partial months. Third-party costs already incurred cannot be refunded by us. Where we have made a billing error we will correct it promptly by refund or credit.

    9. Your responsibilities

To keep the work on schedule you agree to complete onboarding and answer questions promptly, upload logos, photos, brand notes and other assets to your client hub, give us the access we need to your domain, hosting, Google Business Profile, advertising and social accounts, review and approve drafts within 5 business days, and provide accurate business information and tell us when it changes. Delays in assets, approvals or access extend timelines and are not our responsibility. You confirm you have the right to use everything you give us.

    10. Approvals and revisions

Each proposal states how many revision rounds are included. Unless yours says otherwise: brand identity work includes up to five revision rounds, with further rounds at CAD $50 each; website design and copy include up to two revision rounds after the first complete draft, with further changes billed at CAD $50 per hour; content, posts and campaigns include one round of edits per piece. A revision is feedback on the work presented. A change of direction, new scope or new content is not a revision. Once you approve a deliverable, or 5 business days pass without feedback, it is considered accepted.

    11. Ownership and portfolio rights

When your project fee is paid in full, you own the final deliverables created specifically for you: your logo files, brand kit, website design and content, and the content we produce for your channels. You always own your domain, your Google Business Profile, your advertising accounts, your social accounts and your data, and access to them can be revoked by you at any time. We keep ownership of our working and source files, templates, tools, processes and platform; source files can be purchased separately. We may show the work in our portfolio, case studies and social media unless you ask us in writing not to. TWA Studio, Take Wing Artistry and NiceApp.ai are our names and marks.

    12. Third-party platforms

Our services depend on platforms we do not control, including Google, Meta, hosting providers, domain registrars, website builders and the CRM infrastructure our client platform is built on. We are not responsible for their outages, policy changes, pricing changes, suspensions or data loss, and their own terms apply to your use of them. Where a platform change requires rework, we will tell you and quote it.

    13. Confidentiality

Each of us will keep the other's private business information, account data and performance data confidential and use it only to carry out the engagement. This continues after the engagement ends. It does not cover information that is public, that you have approved for case studies, or that we are required by law to disclose.

    14. No guarantee of results

We apply professional judgment and current best practice to every engagement. Search rankings, map positions, AI search visibility, traffic, leads, conversion rates and advertising results depend on factors outside our control, including search engine and platform algorithms, competitors, market conditions and your own pricing and reputation. We do not guarantee any specific ranking, placement, traffic level, number of leads, cost per lead or revenue. Timelines are estimates.

    15. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential losses, including lost profits, lost business or lost data. Our total liability for any claim connected to a one-time project is limited to the fee paid for that project. Our total liability for any claim connected to a monthly service is limited to the fees you paid in the one month before the claim arose.

    16. Indemnification

You agree to indemnify us against claims, losses and costs arising from content, materials or instructions you supply, including claims of copyright or trademark infringement, defamation or privacy breach, and from your use of the deliverables after handover.

    17. Independent contractor

We are an independent contractor, not your employee, partner or joint venturer. We decide how the work is carried out, subject to your approvals, and may use subcontractors and tools of our choosing while remaining responsible for the work. Nothing in these Terms creates exclusivity on either side.

    18. Events outside our control

Neither of us is liable for delay or failure caused by events beyond reasonable control, including platform outages, internet failures, illness, natural events or government action. The affected party will tell the other promptly and timelines extend by the length of the delay.

    19. Governing law

These Terms and every agreement with us are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there. Disputes will be dealt with in the courts of British Columbia, after a good-faith attempt to resolve them directly with us first.

    20. General

Your signed proposal or service agreement plus these Terms form the complete agreement between us and replace earlier discussions. If one clause conflicts with your signed agreement, the signed agreement applies. If any clause is found unenforceable the rest remains in effect. We may update these Terms from time to time; the date at the top shows the current version, and continuing to use our services after an update means you accept it. Questions about these Terms: hello@twa.studio, billing questions: support@twa.studio, or write to us at 3202 32 St, Vernon, BC V1T 5M6.
